Scoped Collaborator Terms

Effective July 3, 2026. This document is provided by OfferReady, a Florida limited liability company. It is informational and is not legal advice.

These terms govern limited-access users granted scoped access to an agent’s workspace on the Platform. They define role-by-role permissions, scope limits, confidentiality obligations, and revocation, and they supplement the OfferReady Terms of Service.

These Scoped Collaborator Terms ("Collaborator Terms") govern limited-access users granted scoped access to an agent’s workspace on the OfferReady platform (the "Platform"), operated by OfferReady, a Florida limited liability company ("OfferReady"). They supplement, and are incorporated into, the OfferReady Terms of Service.

What this does

  • Defines three collaborator roles — Assistant, Transaction Coordinator ("TC"), and Lender — and a role-by-role access matrix configured by the Granting Agent within Platform-enforced limits.
  • Restricts collaborators to their assigned Scope, prohibits credential sharing, and bars downloading, exporting, scraping, copying, or transmitting Client Data outside the Platform except as expressly permitted.
  • Makes the Granting Agent responsible for selecting, vetting, and scoping collaborators and for their acts and omissions on the Platform as if its own.
  • Allows the Granting Agent or OfferReady to revoke a collaborator’s access at any time, with or without cause, effective immediately.

What this does NOT do

  • Lender access is a workflow convenience only: neither OfferReady nor the Platform pays, receives, or facilitates any fee, kickback, or thing of value for the referral of Settlement Service business.
  • A Lender Collaborator’s presence in a room is not an endorsement, referral, or recommendation by OfferReady; any arrangement between a Granting Agent and a Lender exists entirely outside the Platform.
  • No collaborator may export Client Data, view the Granting Agent’s other clients, rooms, or analytics, manage billing, seats, or account settings, or invite other users.
  • Collaborators shall not use Client Data for their own benefit — including marketing, solicitation, lead generation, or building contact lists — during or after the collaboration.

1. DEFINED TERMS

1.1 "Granting Agent" means the Platform user (a real estate professional) who grants scoped access to a Collaborator.

1.2 "Collaborator" means an individual granted limited access to a Granting Agent’s workspace in one of the following roles: Assistant, Transaction Coordinator ("TC"), or Lender.

1.3 "Scope" means the specific access rights assigned to a Collaborator’s role under Section 2, as configured by the Granting Agent within Platform-enforced limits.

1.4 "Client Data" means personal information of buyers, sellers, and other consumers within the Granting Agent’s workspace.

1.5 "Settlement Service" has the meaning given in RESPA, 12 U.S.C. § 2601 et seq., and Regulation X, 12 C.F.R. Part 1024.

2.1 AI drafting. Collaborators may use the Platform’s AI drafting features only inside their assigned rooms or transactions and only within their permitted Scope. Any AI-generated output that will be visible to a buyer must be reviewed and approved by the Granting Agent before it is shared with, or relied upon by, the buyer.

3. SCOPE LIMITATION

3.1 A Collaborator may access and use the workspace only within the assigned Scope and only to support the Granting Agent’s business. Any access, viewing, copying, or use beyond the assigned Scope is prohibited, is a material breach, and may violate applicable computer-access law, including the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, and Fla. Stat. Ch. 815.

3.2 Collaborators shall not share credentials, permit any other person to use their access, or attempt to circumvent Platform permission controls.

4. CONFIDENTIALITY; DATA USE

4.1 All Client Data and non-public workspace information is confidential. Collaborators shall not disclose it except as necessary to perform their role for the Granting Agent.

4.2 No exfiltration; no independent use. Collaborators shall not download, export, scrape, copy, or transmit Client Data outside the Platform except as expressly permitted by the Scope, and shall not use Client Data for their own benefit — including for marketing, solicitation, lead generation, building contact lists, or any purpose independent of the Granting Agent’s business — during or after the collaboration.

4.3 These confidentiality obligations survive revocation or termination of access indefinitely with respect to Client Data, and for three (3) years with respect to other confidential information.

5. LENDER COLLABORATORS — RESPA WALL

5.1 Lender access is a workflow convenience only. Neither OfferReady nor the Platform pays, receives, or facilitates any fee, kickback, or thing of value for the referral of Settlement Service business, and Lender Collaborator status shall not be used to give or receive any such compensation, in compliance with RESPA Section 8, 12 U.S.C. § 2607, and 12 C.F.R. § 1024.14.

5.2 A Lender Collaborator’s presence in a room is not an endorsement, referral, or recommendation by OfferReady. Any arrangement between a Granting Agent and a Lender exists entirely outside the Platform and is the sole responsibility of those parties.

6. GRANTING AGENT RESPONSIBILITY

6.1 The Granting Agent (a) selects and vets its Collaborators, (b) configures their Scope, (c) is responsible for its Collaborators’ acts and omissions on the Platform as if its own, and (d) shall ensure Collaborators’ use complies with applicable law, brokerage policy, and license-law delegation limits (unlicensed assistants may not perform activities requiring a license under Fla. Stat. Ch. 475).

6.2 The Granting Agent shall indemnify OfferReady for claims arising from its Collaborators’ misuse of access.

7. REVOCATION; TERMINATION

7.1 The Granting Agent or OfferReady may revoke a Collaborator’s access at any time, with or without cause, effective immediately. Revocation terminates all access rights; Sections 4, 5, 6.2, and 8 survive.

7.2 OfferReady may suspend any Collaborator on suspected out-of-scope access or data misuse pending investigation.

8. GOVERNING LAW; VENUE

8.1 These Collaborator Terms are governed by Florida law, without regard to conflict-of-laws principles. Exclusive venue and jurisdiction lie in the state and federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise.
